Canceling a California LLC
Stopping activity doesn’t stop the $800. A California LLC generally keeps owing the annual tax and filing Form 568 until it is formally canceled with the Secretary of State.
The usual steps
- Wind up affairs, pay debts, and distribute remaining assets.
- File the final Form 568 (check the “final return” box) and pay any balance owed to FTB.
- File the cancellation with the California Secretary of State (Certificate of Cancellation, or the short-form version in qualifying cases).
- Report the final activity on the owner’s personal return.
If prior years are unfiled or the LLC is suspended, those usually have to be cleaned up first. That’s catch-up work I can help with.
